Types of Review
Gerri handles two common negotiation scenarios, evaluating both against your custom playbook: reviewing a contract that's been redlined by your customer, and reviewing a clean agreement for potential issues.
Redline Review
When a customer returns a redlined agreement, Gerri analyzes every tracked change against your playbook and makes a decision - accept, reject, or counterpropose - along with its reasoning and comments / counterproposal text if needed. Edits that fall outside your playbook are escalated or reassigned to the right person on your team.
You and your team then have complete control over those decisions - accept them as is or overrule them. Add or edit counterproposals directly or instruct Gerri what the counterproposal should look like. And all the changes are made directly to the contract which you can download as a DOCX file and send it back to your customer.
Use redline review when your customer has marked up your paper and sent it back.

Clean Agreement Review
Gerri can also review a clean (non-redlined) agreement and flag any terms that conflict with the positions in your playbook. This works whether you've received your customer's paper or want to evaluate your own contract templates. Once you've reviewed the flagged issues, Gerri can help you draft an email response to your counterparty to address the ones you want to push back on.
Use clean agreement review when your customer has supplied their own paper, or when you want to spot-check a template against your current playbook.

Playbooks
Gerri's behavior is driven by your playbook - a set of plain-language rules that define your company's legal positions. You can create multiple playbooks for different deal types, set a default, and choose which one to apply on a per-review basis. You can also provide custom instructions to give Gerri additional context about your risk tolerance, tone preferences, or other business-specific guidance.

Getting Contracts to Gerri
There are three ways to get a contract into Gerri:
Upload directly - upload a file from the Gerri dashboard
Email to Gerri - send or forward an email with the contract attached directly to Gerri
Gmail integration - connect your Gmail inbox so Gerri monitors incoming emails and routes agreements automatically. See Gerri Gmail Integration to set that up.
