Service Provider Relationship is a variable that appears in the Data Processing Agreement Cover Page, in the Changes to the Agreement section. This section is for items the change terms of an underlying agreement.

How to fill this out

If you are working with Customers who do business in California and collect personal data of California residents, your Customers may want your DPA to establish that you are a “service provider” under the California Consumer Privacy Act, as amended by the California Privacy Rights Act, also known as CCPA.

A service provider under the CCPA is very similar to a processor under GDPR. In addition, the CCPA prevents service providers from selling or sharing personal information they receive from covered businesses. This means that they can’t provide the personal information to other parties in exchange for something of value (which could be a non-financial benefit); it also means they can’t provide the personal information to other parties for purposes of cross-contextual behavioral advertising.

To the extent California Consumer Privacy Act, Cal. Civ. Code § 1798.100 et seq (“CCPA”) applies, the parties acknowledge and agree that Provider is a service provider and is receiving Personal Data from Customer to provide the Service as agreed in the Agreement and detailed below in Nature and Purpose of Processing, which constitutes a limited and specified business purpose. Provider will not sell or share any Personal Data provided by Customer under the Agreement. In addition, Provider will not retain, use, or disclose any Personal Data provided by Customer under the Agreement except as necessary for providing the Service for Customer, as stated in the Agreement, or as permitted by Applicable Data Protection Laws. Provider certifies that it understands the restrictions of this paragraph. Provider will notify Customer if it can no longer meet its obligations under the CCPA.
