Considerations when creating a cloud service agreement or software license agreement without fees or with fees specifically set to $0

If you create a Cloud Service Agreement (CSA) or Software License Agreement (SoLA) with either no fees added, or fees equal to zero, you might get an error message that looks like:

Fees must have a cost greater than zero

Or

Csa order form fees is invalid

Two things to consider when this comes up:

Update your Pricing Model to "Describe using free text". That will remove the system's check for the fee amounts, and you can describe the $0 in fees in the text box that shows up.

The General Cap amount, which sets the limitation of liability for most kinds of disputes, is most commonly set as a multiple of fees. This is the default in our system. However, if your fees are zero, that would mean that the General Cap is also zero.

However, many courts will void a liability cap if they deem it to be unreasonable or unconscionable, and setting a General Cap at zero is uncommon. For agreements with $0 fees, consider specifying the cap as a set amount instead of or in addition to the fee multiple.
